This Minimum Advertised Price (“MAP”) Policy has been adopted by Motorola Networking (“Motorola”) together with Boundless Devices, Inc. (“Boundless Devices”). This Policy applies to all authorized resellers and distributors (“Resellers”) of Motorola Networking branded products (collectively, the “Products”). The purpose of this Policy is to preserve the integrity and reputation of the Motorola and Boundless Devices brands, to support fair competition in the marketplace for these Products, and to maintain mutually profitable relationships with our Resellers.
1. Scope
1.1 This Policy applies to all advertisements of the Products by Resellers in any medium—including print, internet listings (including Reseller websites or third‑party marketplaces), e‑mail or other direct communications to the public, catalogs, billboards, “pop‐up” ads, blogs, social media posts, and any other public advertising (collectively, “Advertised Prices”).
1.2 Resellers may set their own actual selling prices, provided they comply with this Policy’s limits on advertised pricing.
1.3 Products that are discontinued, designated for secondary/disposition channels, or approved separately for liquidations or outlet‑only sale may be excluded from this Policy (subject to notification by Motorola/Boundless Devices).
2. Advertised Price Requirements
2.1 Resellers may not advertise any Product at a price lower than the minimum advertised price (MAP) specified from time to time by Motorola/Boundless Devices.
2.2 Resellers may not use site‑wide discounts, category‐wide discounts, department‐wide discounts or other broad discounting in a manner that results in an Advertised Price below the MAP for the Product.
2.3 The posting of a lower price after the customer adds a Product to the cart (or via phone/quote) is permitted, provided the lower price is not publicly advertised in violation of this Policy.
2.4 Resellers remain free to offer actual selling prices below MAP internally or after customer inquiry, as long as the lower price is not publicly advertised.
3. Policy Administration
3.1 Motorola and Boundless Devices reserve the right to unilaterally amend this Policy at any time; changes will be posted in writing and will become effective as stated.
3.2 Motorola/Boundless Devices will monitor compliance with the Policy, determine whether a violation has occurred, and decide on enforcement measures. There is no formal appeal process.
3.3 If Motorola/Boundless Devices determines a Reseller has violated the Policy, the following enforcement steps may apply:
- First offense: written warning; failure to correct within two (2) business days will count as a second offense.
- Second offense: shipment delays, restrictions or suspension of orders of the affected Products for up to thirty (30) days.
- Third offense: shipment delays, restrictions or suspension of orders of the affected Products indefinitely.
3.4 If a Reseller controls multiple websites, stores or affiliated entities, a violation in any one location may trigger enforcement actions across the entire network of the Reseller.
3.5 Resellers are prohibited from selling the Products to any entity on the exclusion list provided by Motorola/Boundless Devices.

MOTOROLA and the Stylized M Logo are trademarks or registered trademarks of
Motorola Trademark Holdings, LLC. and are used under license by Premier LogiTech, LLC.
